The Endomines share

The shares and warrants of Endomines AB are quoted on First North Premier segment in Stockholm. Endomines shares are quoted in Swedish krona (SEK). Shares are registered in Euroclear Sweden.

Endomines AB’s share capital consists of 73,343,484 A-shares. All shares entitle holders to an equal dividend and voting rights.

Warrants

In connection with the right issue in November 2009 Endomines AB issued 6,111,957 warrants which entitle to subscription of a maximum of 6,111,957 new shares at a subscription price of SEK 5.00 per share between November 15 and December 15, 2010. Maximum number of shares in Endomines AB after using all warrants is 79,455,441. Maximum dilution is 8.33 %.

Subscription options as part of incentive programme

In January 2010 the company issued 1,250,000 subscription options to key personnel. Each option entitles the holder to purchase one (1) share in the company at a subscription price of SEK 5.80 per share. The options are divided into three different tranches, with a different earning period. The options are evenly divided between the tranches, based on when the options can be exercised in accordance with the following:

Tranche 1: The options can be exercised between 1 March 2011 – 1 September 2014;
Tranche 2: The options can be exercised between 1 March 2012 – 1 September 2014;
Tranche 3: The options can be exercised between 1 March 2013 – 1 September 2014.

Maximum dilution is 1.70 % on 73,343,484 shares or 1.57 % on 79 455 441 shares.
